WeCom (WeChat for Work) – Terms of Use

PART A: Terms of Use for Instant Messaging – Clients

(Instant Messaging via WeChat/WeCom (WeChat for Work)) (the “Channels”)

This is a communication from the Wealth Management business line of BNP Paribas, acting through its Singapore branch and/or BNP Paribas, acting through its Hong Kong branch (collectively referred to as, the “Bank”) which is confidential and for both yourself and on behalf of the organisation and/or Bank account holder(s) (the “Account Holder(s)”) on whose behalf you are acting (the “Entity” and collectively, “you”) as the Bank’s client only. Please read the following carefully as it contains the terms governing the use of the Channels of electronic communications between you and Bank.

By using the Channels to communicate with the Bank, you (both for yourself and on behalf of the Entity and/or the Account Holder(s) on whose behalf you are acting) agree to be bound by and represent and warrant to the Bank the terms of use herein, which the Bank reserves the rights to update from time-to-time which you shall be deemed to accept, acknowledge and agree to the latest versions thereof when you continue to use the Channels to communicate with us. The terms and conditions governing your/the Account Holder(s)’ account(s) with the Bank (“Account T&Cs”) and the Terms and Conditions for Digital Banking Services (“Digital T&Cs”) (available at :

shall apply to the use of the Channels. In particular, the term “Digital Banking Services” under the Digital T&Cs shall be construed to cover the Channels. Reference to “WeCom” in these terms of use means the communication application WeCom and/or WeChat, depending on the version being used by each party. Unless otherwise notified by the Bank, its communications on the Channels are not on behalf of BNP Paribas (China) Limited but as an applicable BNP Paribas entity or branch outside mainland China.

If you do not wish to receive any further communication via the Channels, please inform your relationship manager.

All communications  are monitored and recorded by the Channels and may also be monitored and recorded by the Bank for record-keeping, quality training, investigation and other legitimate purposes in the manner permitted by local/applicable laws and all information collected or received will be used, processed, transferred and/or disclosed by the Bank, its head office, any branch or any office of BNP Paribas, any member of the BNP Paribas Group or any other third persons in accordance with and/or as permitted under (i) the Personal Data Protection Act 2012 of Singapore, (ii) the Account T&Cs, (iii) the Bank’s Data Protection Policy (available at: https://apac.bnpparibas/en/singapore/data-protection-policy/), (iv) the Personal Data (Privacy) Ordinance (Cap 486 of the laws of Hong Kong) and (v) the Notice to Customers relating to the Personal Data (Privacy) Ordinance of Hong Kong (available at: https://www.bnpparibas.com.hk/en/data-protection-notice/) (items (ii), (iii) and (v) are collectively referred to as the “Bank’s Data Policies”), as updated and/or amended by the Bank from time to time. Such records may be used as evidence in any legal proceedings in the event of a dispute and you consent to the same. Clause 4 (Instructions by Telephone, Facsimile, Telex, Video Conference & Other Electronic Means) of the Account T&Cs, including the various indemnities and exclusion clauses therein, shall be incorporated as if set out fully herein. The Bank cannot provide any assurance that any such communications via the Channels (sent or received) are secure, confidential, error free, not corrupted, complete and/or that they will not be lost, destroyed, delayed, intercepted or otherwise affected by unauthorised persons or technical failures without the knowledge of the sender or intended recipient. Therefore, the Bank advises against sending sensitive, confidential or personally identifiable information via the Channels unless absolutely necessary and disclaims any liability should you choose to do so, for which you fully understand and accept the risks and which the Bank makes no representations or warranties whatsoever as to the security, access and usage of any communication transmitted to or by the Bank via the Channels. As may be necessary (e.g. if requested by you or if the context requires), you authorise and consent for the Bank to send you and to receive via the Channels information relating to you and your/the Entity’s/the Account Holders’ account(s) with the Bank, including but not limited to customer information and personal data. The Bank shall not be responsible for any loss of security or breach of confidentiality of any such communication. Material herein may be copyrighted and the property of the Bank and unauthorised copying or distribution of this message or linked materials without the prior consent of the Bank is not permitted.

You represent and warrant that you have read and agreed to the Bank’s Data Policies, and that you have obtained consent or authority and capacity from the Entity and/or the Account Holder(s) to communicate with the Bank via the Channels and you have full power and authority to accept these terms of use both for yourself and the Entity/the Account Holder(s). You and the Entity/Account Holder(s) shall immediately inform the Bank in writing if you no longer have the authority to represent or act on behalf of the Entity/Account Holder(s) and until such communication is received, the Bank is entitled to treat a user as authorised.

You represent and warrant that all communications from you to the Bank are authorised, complete and immediately binding on the Entity/the Account Holder(s).

You accept that it is your sole responsibility to keep, and to ensure that your electronic devices for using the Channels are safe and secure, including without limitation, to keep confidential, safe and secure the security credentials you use to access the device and Channels, to take reasonably practicable measures to guard against any phishing or social engineering attacks and to ensure regular updates with security patches on your electronic devices and not to  forward unverified links etc. Communicating via the Channels using your electronic devices shall be restricted solely to you. You undertake to immediately inform the Bank of any loss or theft or unauthorised use of your electronic device or any breach or suspected breach of security in relation to the Channels by notifying your relationship manager or through other Bank’s communication channels notified by the Bank to you.  You shall bear full responsibility for all consequences arising from the use, loss or misuse of your electronic device and the Channels.  

Please note that the Channels are run and/or managed by external service providers which do not belong to the BNP Paribas group (“Third Party Service Providers”), including without limitation, Tencent Ltd. We draw your attention that the use of the Channels shall be subject to the applicable terms of such Third Party Service Providers from time to time (the “Third Party Terms”). Please be reminded to read and consider the Third Party Terms carefully and decide whether or not to accept the Third Party Terms and to use the Channels at your own discretion and determination. If you have decided to cease using any of the Channels at any time, please notify the Bank in writing. 

BNP Paribas, including the Bank, shall not be responsible or held liable for any collection, storage, usage, handling, sharing and/or transfer by any Third Party Service Providers and/or any other parties of any data communicated through the Channels, or for any act, omission and/or fraud on the part of the Third Party Service Providers and/or any other parties. BNP Paribas, including the Bank shall not be responsible or held liable for any breach of confidentiality, loss or misuse of any data by the Third Party Security Providers.   

Security Risks Acceptance

You acknowledge that you (on behalf of yourself, the Entity and/or the Account Holder(s)) fully accept, understand, acknowledge (and hereby consent, as applicable or necessary) that:

(a) there are heightened security risks for using electronic communication channels.  Any chat messages passing through the Channels may be stored by Tencent (the operator) at their cloud storage for certain period of time which are not end-to-end encrypted and present higher security risks and you are advised not to send any confidential, sensitive or personal information;

(b) the Bank makes no representations or warranties whatsoever as to the security of any information or messages transmitted to or by the Bank pursuant to such means and that the Bank shall not be responsible for any legal dispute caused by message content, loss of security or breach of confidentiality of any such information or instruction;

(c) there may be potential, aggravated and/or heightened security risks and/or vulnerabilities which will be exposed to you with your use of the Channels to communicate with the Bank; such risks include, without limitation, phishing, malware, leakage of sensitive and confidential information, account theft and impersonation and other common vulnerabilities and exposures as may be present from time-to-time (“Security Incidents”), as well as operational risks which you will need to face and you are advised not to share login details with anyone;

(d) you have sufficiently adequate security awareness and knowledge in place, and that you have a full and sound understanding of the security features of the Channels, before on-boarding yourself to the Channels to act on behalf of the Entity’s/the Account Holder(s)’  account(s) held with the Bank;

(e) it will not be appropriate for you to on-board to, or use, the Channels if you have not familiarised yourself with the security risks and vulnerabilities associated therewith;

(f) you will not spread or introduce any malicious software or virus to the Bank or any of its affiliates via your use of the Channels, whether or not intentional; and shall inform the Bank if and when you face any Security Incidents which may affect the Bank; and

(g) you acknowledge and agree that, the Bank will not be liable or responsible to you for any loss, harm, damages or expenses which may be suffered by you/the Entity/the Account Holder(s) (“Loss”) in connection with your use of the Channels, including, but not limited to, any Loss arising directly or indirectly from Security Incidents.

The Bank reserves the right to cease or suspend the use of the Channels as a communication channel with you at its absolute discretion.  You agree that the Bank shall not be responsible or held liable for any interruptions, disruptions or malfunction of the Channels. If you experience any problem in using the Channels, please contact our hotline at (65) 6210-6008 (Singapore) or 001-800-6210-6008 (Hong Kong) from Mon – Fri, 9 a.m. to 6 p.m. Singapore or Hong Kong business days only for technical support and/or please contact your relationship manager for assistance relating to your account(s).

You agree that you shall only use the Channels for communication with the Bank relating to the operation and management of the account(s) with the Bank and for no other purpose. You shall keep all communication between you and the Bank via the Channels private and confidential, including not to invite to the Channels or allow disclosure of any such communications to any unauthorised third parties on the account(s) (if this happens, you agree and consent to such disclosure and to be solely responsible for any loss and consequences of security or breach of confidentiality of any such communication). Save for the purpose of your compliance with any applicable legal or regulatory obligations, you agree and undertake not to disclose any communication between you and the Bank via the Channels to any third parties other than the Entity and/or relevant Account Holder(s) you are acting for, except with the Bank’s prior written consent. 

Restrictions

You confirm that neither you nor, to the best of your knowledge, any of your subsidiaries, directors, officers, members, employees or agents thereof, (i) is the subject of any Sanctions or is owned or controlled by persons that are the subject of any Sanctions (a “Sanctioned Person”) or (ii) is located, organised or resident in a country or territory that is, or whose government is, the subject of Sanctions (a “Sanctioned Country”). You confirm that you do not and shall not engage, directly or indirectly, in any activity or transaction that involves Sanctioned Persons or Sanctioned Countries. You shall not send to or process through BNP Paribas any transaction involving Sanctioned Persons or Sanctioned Countries or that would be funded or otherwise facilitated by BNP Paribas.

“Sanctions” means any economic or trade sanctions, embargoes or restrictive measures enacted, administered, imposed or enforced by the U.S. Department of the Treasury’s Office of Foreign Asset Control Clause (OFAC), the U.S. Department of State, the United Nations Security Council, the European Union, the French government or any other government, governmental agency regulator or authority.

Indemnity

You agree and undertake to fully and completely indemnify and at all times keep the Bank and each of its nominees, agents, brokers, custodians and officers indemnified and held harmless against any and all losses, claims, demands, actions, proceedings, reasonable expenses (including legal fees on a full indemnity basis) and all other liabilities of whatever nature or description (including goods and services, value added or other similar taxes payable thereon or in connection therewith) which the Bank, its nominees, agents, brokers, custodians and/or officers, may incur or suffer as a result of (whether directly or indirectly) or in connection with the use of the Channels or as otherwise contemplated above and for such purpose, the Bank may debit any of your account(s) of the with the Bank with any amount required to indemnify the Bank as aforesaid.

PART B: Terms of Use for Instant Messaging – Prospects

(Instant Messaging via WeChat/WeCom (WeChat for Work)) (the “Channels”)

This is a communication from the Wealth Management business line of BNP Paribas, acting through its Singapore branch and/or BNP Paribas, acting through its Hong Kong branch (collectively referred to as, the “Bank”) which is confidential and for  both for yourself and on behalf of the organisation on whose behalf you are acting (the “Entity” and collectively, “you”) as the Bank’s prospect only. Please read the following carefully as it contains the terms governing the use of the Channels of electronic communications between you and Bank, during the time that you are a prospect.

Should you subsequently become a client of the Bank, the “WeCom (WeChat for Work) -Terms of Use – Part A: Terms of Use for Instant Messaging – Client” shall be deemed to apply to you instead (“WeChat Client Terms of Use”).

By using the Channels to communicate with the Bank, you agree to be bound by and represent and warrant to the Bank the terms of use herein (and upon becoming a client, the WeChat Client Terms of Use), which the Bank reserves the rights to update from time-to-time which you shall be deemed to accept, acknowledge and agree to the latest versions thereof when you continue to use the Channels to communicate with us. Reference to “WeCom” in these terms of use means the communication application WeCom and/or WeChat, depending on the version being used by each party. Unless otherwise notified by the Bank, its communications on WeCom are not on behalf of BNP Paribas (China) Limited but as an applicable BNP Paribas entity or branch outside mainland China.

If you do not wish to receive any further communication via the Channels, please inform the Bank representative that you are in touch with.

You agree that you shall only use the Channels for communication with the Bank relating to the operation and management of the prospective account(s) with the Bank and for no other purpose. You shall keep all communication between you and the Bank via the Channels private and confidential, including not to invite to the Channels or allow disclosure of any such communications to any unauthorised third parties on the prospective Bank account(s) (if this happens, you agree and consent to such disclosure and to be solely responsible for any loss and consequences of security or breach of confidentiality of any such communication). Save for the purpose of your compliance with any applicable legal or regulatory obligations, you agree and undertake not to disclose any communication between you and the Bank via the Channels to any other third parties except with the Bank’s prior written consent. 

Other Restrictions

You also confirm that neither you nor, to the best of your knowledge, any of your subsidiaries, directors, officers, members, employees or agents thereof, (i) is the subject of any Sanctions or is owned or controlled by persons that are the subject of any Sanctions (a “Sanctioned Person”) or (ii) is located, organised or resident in a country or territory that is, or whose government is, the subject of Sanctions (a “Sanctioned Country”). You confirm that you do not and shall not engage, directly or indirectly, in any activity or transaction that involves Sanctioned Persons or Sanctioned Countries. You shall not send to or process through BNP Paribas any transaction involving Sanctioned Persons or Sanctioned Countries or that would be funded or otherwise facilitated by BNP Paribas.

This communication will be governed by and construed in accordance with Singapore Law and you, and the Entity, hereby submit to the exclusive jurisdiction of the courts of Singapore as regards any claim or matter arising in relation hereto.

您陈述并保证,所有从您发送至本行的通信均获授权、完整且对实体/账户持有人具有即时约束力。

您接受,您有唯一责任保管您用于使用渠道的电子设备并确保其安全可靠,包括但不限于对您用于访问设备和渠道的安全凭证保密、保管稳妥并确保安全,采取合理可行的措施防范任何网络钓鱼或社交工程攻击,确保您的电子设备定期作出安全更新,以及不转发未经核实的链接等。应仅限于您本人使用您的电子设备通过渠道进行通信。您承诺,一旦您的电子设备丢失、被盗或遭未经授权使用,或出现任何与渠道相关的安全漏洞或疑似安全漏洞,您须立即通知您的客户关系经理或通过本行告知您的其他银行通信渠道通知本行。您应承担因使用、丢失或误用您的电子设备及渠道而引起的一切后果的全部责任。

请注意,渠道由不属于法国巴黎银行集团的外部服务提供商(“第三方服务提供商”,包括但不限于腾讯有限公司)运营及/或管理。我们提请您注意,渠道的使用须受该等第三方服务提供商不时适用的条款(“第三方条款”)约束。请谨记仔细阅读并审慎考虑第三方条款,并自行酌情决定是否接受第三方条款及使用渠道。如果您决定在任何时候停止使用任何渠道,请书面通知本行。 

法国巴黎银行,包括本行,对任何第三方服务提供商及/或任何其他方对通过渠道通信的任何资料的收集、存储、使用、处理、共享及/或传输,或对第三方服务提供商及/或任何其他方的任何作为、不作为及/或欺诈行为,概不负责或承担任何责任。法国巴黎银行,包括本行,对因第三方安全提供商造成的任何机密性泄露、资料丢失或误用概不负责或承担任何责任。

安全风险接受声明

您确认,您(代表您本人、实体及/或账户持有人)完全接受、理解、确认(并在此同意,如适用或必要):

(a) 使用电子通信渠道存在更高的安全风险。任何通过渠道传递的聊天信息均可能由腾讯(运营方)在其云存储中保存一定时间,这些信息未采用端到端加密,存在较高的安全风险,建议您不要发送任何机密、敏感或个人信息;

(b) 本行不对通过此等方式传输至本行或由本行传输的任何信息或消息的安全性作任何陈述或保证,且本行对因消息内容、任何此类信息或指示的安全性丧失或机密性泄露而引起的任何法律纠纷概不负责;

(c) 您使用渠道与本行通信可能会面临潜在的、加剧的及/或更高的安全风险和/或漏洞;此类风险包括但不限于网络钓鱼、恶意软件、敏感及机密信息泄露、账户盗用和冒名顶替以及其他可能不时出现的常见漏洞与风险(“安全事件”),以及您需要面对的操作风险,建议您不要与任何人分享登录信息;

(d) 在代表实体/账户持有人于本行持有的账户使用渠道之前,您已具备足够充分的安全意识和知识,并且对渠道的安全特性有全面和良好的理解;

(e) 如果您尚未熟悉与之相关的安全风险和漏洞,则不适合使用渠道;

(f) 您不会通过使用渠道向本行或其任何关联公司传播或引入任何恶意软件或病毒,无论是否故意;并且如果及当您遇到任何可能影响本行的安全事件时,通知本行;以及

(g) 您确认并同意,对于您/实体/账户持有人因您使用渠道而可能遭受的任何损失、伤害、损害或费用(“损失”),包括但不限于因安全事件直接或间接引起的任何损失,本行不对您承担任何责任或义务。

您同意,您应仅将渠道用于与本行就于本行账户的运营和管理相关的通信,不得用于任何其他目的。您应对您与本行之间通过渠道进行的所有通信保密,包括不得邀请任何与账户相关的未经授权第三方加入渠道或允许向其披露任何此类通信(如果发生这种情况,您同意并准许此类披露,并独自承担因任何此类通信的安全性丧失或机密性泄露所造成的任何损失和后果)。除为遵守任何适用法律或监管义务之目的外,您同意并承诺,未经本行事先书面同意,不向任何第三方(除您所代表的实体及/或相关账户持有人外)披露您与本行之间通过渠道进行的任何通信。 

限制

您确认,您以及据您所知,您的任何子公司、董事、高级人员、成员、雇员或其代理人并非 (i) 任何制裁的对象,或由属于任何制裁对象的人士拥有或控制(“受制裁人士”),或 (ii) 位于、组织于或居住于属于制裁对象或其政府属于制裁对象的国家或领土(“受制裁国家”)。您确认,您现在没有且将来也不会直接或间接从事任何涉及受制裁人士或受制裁国家的活动或交易。您不得向法国巴黎银行发送或通过法国巴黎银行处理任何涉及受制裁人士或受制裁国家或将由法国巴黎银行提供资金或以其他方式促成的交易。

“制裁”是指由美国财政部外国资产控制办公室(OFAC)、美国国务院、联合国安全理事会、欧洲联盟、法国政府或任何其他政府、政府机构监管机构或权力机构颁布、管理、实施或执行的任何经济或贸易制裁、禁运或限制性措施。

弥偿

您同意并承诺,针对因使用渠道或如上文所述的其他情况所引起(无论直接或间接)或与之相关的任何及所有损失、索赔、要求、诉讼、法律程序、合理开支(包括按全面弥偿基准计算的法律费用)以及所有其他任何性质或描述的负债(以及应支付或与之相关的货物与服务税、增值税或其他类似税款),向本行及其各代名人、代理人、经纪、保管人及高级人员作出全面且完整的弥偿,并始终使其免受损害;为此目的,本行可从您于本行的任何账户中扣支任何为弥偿本行(如上所述)所需的金额。

B 部分:即时通信使用条款 – 潜在客户适用

(通过微信/企业微信进行即时通信)(简称“渠道”)

本通信来自法国巴黎银行财富管理业务线,由其新加坡分行和/或香港分行(统称为“本行”)发出,内容机密,仅供您本人及您所代表的组织(实体”,统称为“您”)作为本行潜在客户使用。请仔细阅读以下内容,其中载有在您作为潜在客户期间,规范您与本行之间通过电子通信渠道进行沟通的使用条款。

如果您随后成为本行的客户,则《企业微信(WeChat for Work)- 使用条款 – A部分:  即时通信使用条款 – 客户》应被视为适用于您(“微信客户使用条款”)。

通过使用渠道与本行通信,您同意受本使用条款约束,并向本行陈述并保证遵守此等条款(并在成为客户后,遵守微信客户使用条款)。本行保留不时更新此等条款的权利,当您继续使用渠道与我们通信时,即视为您接受、确认并同意其最新版本。本使用条款中提及的“企业微信”(WeCom)指通信应用企业微信和/或微信,具体取决于各方所使用的版本。除非本行另行通知,其通过企业微信进行的通信不代表法国巴黎银行(中国)有限公司,而是代表中国大陆以外适用的法国巴黎银行实体或分行。

如果您不希望再通过渠道接收任何通信,请通知与您联系的银行代表。

(f) 您不会通过使用渠道向本行或其任何关联公司传播或引入任何恶意软件或病毒,无论是否故意;并且如果及当您遇到任何可能影响本行的安全事件时,应通知本行;以及

(g) 您确认并同意,对于您因您使用渠道而可能遭受的任何损失、伤害、损害或费用(“损失”),包括但不限于因安全事件直接或间接引起的任何损失,本行不对您承担任何责任或义务。
